MUMBAI — Tata Sons Executive Chairman N Chandrasekaran has agreed to reconsider his planned departure from the salt-to-software conglomerate, securing a majority vote from the board on Thursday to extend his leadership for an additional five-year term starting in February 2027.
The breakthrough follows months of boardroom friction, culminating in a tense meeting where Noel Tata, Chairman of Tata Trusts, cast the lone dissenting vote against Chandrasekaran’s reappointment.
In an official statement released after the meeting, Tata Sons confirmed that Chandrasekaran had “acceded to the board’s request to re-consider his decision” to step down at the end of his current tenure.
“The Board thereafter resolved by a majority vote to re-appoint him as Executive Chairman for a further term of five years upon the expiry of his current tenure,” the company said.
The decision brings tentative closure to a prolonged succession standoff. The Tata Sons board had initially agreed in principle to the five-year extension in September 2025, following a unanimous resolution from Tata Trusts in July 2025 praising Chandrasekaran’s stewardship since 2017. However, formal approval stalled in February 2026 due to a lack of consensus among directors, remaining unresolved through subsequent board meetings in May and June.
The path to Thursday’s vote opened on September 3, 2026, when the board’s Nomination and Remuneration Committee (NRC)—chaired by former Unilever Global COO Harish Manwani—met to address Chandrasekaran’s stated intention to step down. The committee unanimously urged him to reconsider, citing his significant contributions and the broader interests of the group.
Alongside Chandrasekaran and Noel Tata, the Tata Sons board includes Manwani, TVS Group Chairman Emeritus Venu Srinivasan, former World Bank official Anita M George, and Tata Sons Group CFO Saurabh Agrawal.
Beyond leadership continuity, the board also resolved Thursday to take formal steps toward compliance with regulatory frameworks set by the Reserve Bank of India (RBI). Tata Sons stated it will actively seek guidance from the central bank, Tata Trusts, and key stakeholders regarding the applicable compliance requirements.
